Terms of Service

1. Acceptance of Terms

By accessing or using NexaSuite (the "Service"), operated by NexaSuite Technologies ("we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

• You must provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• Notify us immediately at support@nexasuite.in if you suspect unauthorized access.

4. Subscription Plans & Billing

• Free Trial: New accounts receive a 14-day trial with Professional plan features. No credit card required.
• Paid Plans: Starter (₹9,999/month), Professional (₹24,999/month), and Enterprise (custom pricing).
• Billing Cycle: Subscriptions are billed monthly or annually. Payments are non-refundable except as described in Section 5.
• Auto-Renewal: Subscriptions auto-renew unless cancelled before the renewal date.
• Price Changes: We may adjust pricing with 30 days' notice. Existing subscriptions are not affected until renewal.

5. Cancellation & Refunds

• You may cancel your subscription at any time from your dashboard.
• Cancellation takes effect at the end of the current billing period.
• Refund requests for annual plans may be submitted within the first 30 days of purchase.
• No partial refunds are provided for unused portions of monthly plans.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Send unsolicited bulk messages (spam) via our communication tools
• Attempt to access accounts, systems, or data without authorization
• Interfere with the Service's operation or other users' access
• Reverse-engineer, decompile, or copy our software
• Use automated systems to scrape or extract data from the Service
• Resell access without a valid reseller agreement

Violation may result in immediate suspension or termination of your account.

7. Intellectual Property

All content, features, and technology of NexaSuite — including but not limited to text, graphics, logos, icons, images, software, and code — are the property of NexaSuite Technologies and protected by intellectual property laws.

You retain ownership of data you upload to the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service.

8. Service Availability & SLA

• We target 99.9% uptime for Enterprise plans (SLA guaranteed).
• Scheduled maintenance windows are communicated in advance.
• We are not liable for downtime caused by force majeure events, third-party service failures, or your network issues.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using NexaSuite, you consent to the collection and use of your information as described therein.

10. Limitation of Liability

To the maximum extent permitted by law, NexaSuite Technologies shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Service interruptions or data breaches caused by third parties

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless NexaSuite Technologies from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your account if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7, 10, 11, and 13 survive termination.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Bangalore, Karnataka, in accordance with the Indian Arbitration and Conciliation Act.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the website at least 30 days before taking effect. Continued use after changes constitutes acceptance.
